Jane's Agenda Terms of Service
These Terms of Use and Sale ("TOUS") form a binding agreement between you ("you" or "your") and Jane's Agenda ("we", "us", "our"). By accessing or using our website (JanesAgenda.com, "the Site") or services ("Services"), you agree to these TOUS, which include an arbitration clause, class-action waiver, and liability limitations.

1. General Terms
1.1 Eligibility: You must be at least 18 years old (or 16 with parental consent) to use our Services. If you're acting on behalf of a third party, you represent their acceptance of these TOUS.
1.2 License: We grant you a limited, non-transferable, revocable right to use the Site and Services for personal use, subject to compliance with these TOUS.
1.3 Prohibited Conduct: You may not copy, modify, or distribute Site content, misuse the Services, or engage in illegal activities on the site.
1.4 Privacy: By agreeing to these TOUS, you consent to our Privacy Policy regarding data collection and usage.
2. Account Registration
2.1 Account Info: You must provide accurate and complete information and maintain confidentiality when creating an account.
2.2 Security: You are responsible for all activities under your account and must notify us immediately of unauthorized use.
2.3 No Obligation to Retain: We may, but are not required to, retain your account data.
3. Terms of Sale
3.1 Product Descriptions: We strive for accuracy but reserve the right to correct any product descriptions, prices, or availability errors.
3.2 Pricing & Availability: Prices and product availability may change anytime. Taxes and shipping fees are additional.
3.3 Order Acceptance: Your order is an offer; we accept it by shipping the product. We may cancel or correct orders if needed.
3.4 Returns: All sales are final, except where stated for UK customers. Contact us within a week for damaged or incomplete shipments.
3.5 Payment: Payments are processed via third-party providers. You authorize us to charge your payment method for all purchases, including recurring membership charges.
3.6 Damaged, Lost, or Incomplete Shipment: If you receive a damaged or incomplete shipment or are dissatisfied with any product, contact us within one (1) week of receipt. Refunds or replacements are made at our discretion.
3.6.1 Shipping Protection: Jane’s Agenda is not liable for lost, stolen, or misdelivered packages once the order is transferred to the carrier. To safeguard against these issues, we offer Shipping Insurance, which is available at checkout. If you choose not to purchase Shipping Insurance, we will not issue refunds or replacements for lost, stolen, or misdelivered packages. You are responsible for ensuring a safe delivery location and providing accurate shipping details. With Shipping Insurance, you can file claims by emailing us at hello@janesagenda.com for lost, stolen, or damaged shipments, subject to our terms and conditions. All claims must be submitted within forty-eight (48) hours of the carrier marking the order as delivered. Claims submitted after this period may not be honored.
3.7 Shipping Risk: The risk of loss passes to you once products are shipped.
3.8 Taxes & Shipping: Prices exclude taxes, duties, and shipping fees, which you are responsible for.
3.9 Personal Use Only: Products and Services are for personal use and may not be resold.
3.10 International Shipments: You are responsible for ensuring products can be legally imported to your country.
3.11 Order Cancelations: Customers may request to cancel an order within 24 hours of placement by contacting our Customer Support team via email. After 24 hours, orders typically enter the processing stage, and cancellation requests may no longer be accommodated.
3.11.1 Refunds for Canceled Orders Within 24 hours: Orders canceled within 24 hours of placement are eligible for a full refund issued to the original payment method.
3.11.2 Refunds for Canceled Orders After 24 hours: If an order has not yet entered processing but the cancellation request is submitted after 24 hours, any approved refund will be issued as store credit. Store credit does not expire and may be applied toward future purchases.
4. Memberships
4.1 Memberships: We offer subscription-based memberships, which include regular product shipments or access to additional features.
4.2 Ongoing Subscriptions: Memberships renew automatically unless canceled.
4.3 Cancellation: You may cancel anytime before the 1st of the month to avoid further charges. Cancellation does not refund prior payments but will stop future charges.
4.4 Subscription Tier or Size Changes: If you change your subscription tier or size, any "grandfathered pricing" or special pricing from the original tier will be removed. The new subscription will be subject to current pricing, and we will not revert to previous rates. Please review the updated pricing before making changes, as you accept the new terms by modifying your subscription.
5. Promotions and Credits
5.1 Promotional Codes
From time to time, Jane's Agenda may offer certain promotional codes for discounts applicable toward purchases on the site. Promotional codes are non-transferable, not redeemable for cash or credit, and cannot be applied to prior purchases. They are valid only for the time period specified, if provided, and cannot be replaced if lost. Promotional codes cannot be combined with other offers, discounts, or gift cards. Only one promotional code may be used per customer. Promotional codes are void where prohibited, and Jane's Agenda reserves the right to terminate or modify promotional programs at any time, at its sole discretion.
5.2 Credits
5.2.1 Promotional Credit
Jane's Agenda may, in its sole discretion, offer credits that can be applied to certain transactions on the site, including sale-specific or other promotional credits ("Promotional Credit"). Promotional Credits are not issued for payment and have no cash value. They cannot be sold, traded, or transferred and cannot be used to purchase gift cards. Promotional Credits will expire on the specified date, if applicable. If your Membership is terminated or expires, any unused Promotional Credits will be forfeited. Jane's Agenda reserves the right to cancel or modify the terms of Promotional Credits at any time without notice.
5.2.2 Credits for Amounts Paid
Certain credits may be issued for amounts paid to Jane's Agenda. These credits will expire or decline in value according to applicable laws in your location at the time of purchase.
5.2.3 Other Credits
Jane's Agenda may offer other forms of credit as part of specific programs or promotions. These credits may be subject to different terms and conditions than Promotional Credits, as outlined in the specific promotional program.
5.3 Gift Cards
Jane's Agenda may offer gift cards ("Gift Cards") for purchase, which may be used to buy Products and/or Services on JanesAgenda.com. By using a Gift Card, you agree to these TOUS and the separately governed Gift Card Terms of Service. Gift Cards do not expire, and no fees are associated with their use unless otherwise specified. They are non-transferable, non-reloadable, and cannot be exchanged for cash except where required by law. Purchases of Gift Cards are final and non-refundable. If lost or stolen, Gift Cards cannot be replaced.
Promotional Gift Cards, credits, or codes may have different terms and conditions. Review these terms carefully, as they may include expiration dates or other restrictions.
By purchasing, redeeming, or using a Gift Card, you agree to the terms of these TOUS and the Gift Card Terms. If you disagree, do not purchase or use the Gift Card.
5.4 Additional Promotional Programs
From time to time, Jane's Agenda may offer other promotional programs at its discretion. Participation in these programs may be subject to additional terms. Jane's Agenda reserves the right to terminate or modify any promotional program at any time without notice except as required by law.
6. Communications
6.1 Consent to Communications
By accepting these TOUS, you consent to receive communications from Jane's Agenda and its affiliates, including via email, phone calls, text messages, and push notifications. These communications may include operational messages about your account, updates, promotions, marketing materials, or industry information. Standard text message charges may apply based on your mobile plan.
6.2 Updating Contact Information
You agree to keep your contact information up-to-date. Jane's Agenda may send important notices to the email address you provide, and such communications are considered delivered when sent. If you change your phone number, you agree to notify us immediately at hello@janesagenda.com to avoid issues with communications.
6.3 Text Messaging Program
6.3.1 Program Description
Jane's Agenda may offer a Text Messaging Program to deliver messages about our Products and Services. These messages may include updates on deliveries, membership features, promotions, and other marketing content.
6.3.2 How to Enroll
By providing your phone number or opting into our Text Messaging Program, you consent to receive text messages, including marketing messages, from Jane's Agenda. Opting in is not a condition of purchasing any products or services.
6.3.3 Opt Out
You may opt out of the Text Messaging Program at any time by texting "STOP" to the number from which you receive messages. A final confirmation message will be sent to confirm your opt-out.
6.3.4 Message and Data Rates
Message and data rates may apply. Your mobile carrier determines charges. Jane's Agenda does not charge additional fees for sending messages.
6.3.5 Your Mobile Number
You represent that you are the account holder for the mobile number you provide when signing up for the Text Messaging Program. If you change your mobile number, notify us immediately at hello@janesagenda.com.
6.3.6 Eligibility
To participate in the Text Messaging Program, you must be a U.S. resident and at least 18 years old.
6.3.7 Changes to the Text Messaging Program
Jane's Agenda may modify or terminate the Text Messaging Program at any time. We recommend reviewing these TOUS regularly to stay informed of any changes.
6.3.8 Termination of Text Messaging Program
Jane's Agenda may suspend or terminate your participation in the Text Messaging Program at any time, including if we believe you are in breach of these TOUS or if your phone number is reassigned or inactive.
7. Intellectual Property; Third-Party Content and Services
7.1 Intellectual Property Rights
All content, trademarks, service marks, logos, Site design, and technology associated with the site are owned by or licensed to Jane's Agenda. You are granted a limited license to access and use the site for personal purposes, but you may not reproduce, distribute, or exploit any of the content, technology, or intellectual property found on the site.
7.2 Third-Party Content
The site may contain third-party content, and we are not responsible for its accuracy or legality. We do not endorse third-party content, and we are not liable for any consequences related to its use.
7.3 Third-Party Services
Jane's Agenda may offer third-party services through the site. You may need to agree to the third party's terms of service or privacy policy. Jane's Agenda is not liable for any actions or issues related to such third-party services.
8. Contributions to Jane's Agenda
8.1 License to Jane's Agenda
By submitting any User Content to Jane's Agenda (e.g., text, photos, reviews), you grant us a non-exclusive, worldwide license to use, display, and distribute your content. You retain ownership, but we have the right to use your content for any purpose, subject to these TOUS.
8.2 Waiver of Moral Rights
You waive any moral rights to your User Content, meaning you will not prevent Jane's Agenda from using or modifying your submissions.
8.3 Right to Name and Likeness
You grant Jane's Agenda the right to use your name, photograph, and biographical information in connection with your User Content.
8.4 Responsibility for User Content
You are solely responsible for the content you submit. By submitting content, you affirm that you have all necessary rights to do so and that your content does not infringe on any third-party rights.
8.5 No Obligation to Use User Content
Jane's Agenda is not obligated to use, publish, or pay for any User Content you submit. We may remove, edit, or restrict access to User Content at our discretion.
9. Infringement
9.1 Infringement Notification
If you believe that your copyrighted work has been infringed, you may notify Jane's Agenda to request the removal of infringing material.

Include sufficient information such as a description of the work, the infringing material, your contact details, and a statement of good faith belief that the use is unauthorized.
10. WARRANTIES; DISCLAIMER
• 10.1 – States that your rights might differ based on location, and some warranties may apply in specific jurisdictions.
• 10.2 – Disclaims warranties related to the website, services, and products. They are provided "as-is," and Jane's Agenda does not guarantee stock availability or product safety.
• 10.3 – You use the site and services at your own risk. Jane's Agenda does not guarantee the absence of errors or viruses or that all information will be accurate.
• 10.4 – Jane's Agenda is not responsible for third-party content or services linked to or advertised on the site.
• 10.5 – For UK customers: You have statutory rights that cannot be excluded, such as protection against death or injury due to negligence.
11. LIMITATION OF LIABILITY
• 11.1 – Highlights that limitations may not apply depending on your jurisdiction.
• 11.2 – Jane's Agenda disclaims liability for indirect, incidental, or consequential damages, even if they were warned of the possibility.
• 11.3 – Limits liability to the amount paid for the products or services in question, or $100, in the case of gross negligence.
• 11.4 – UK-specific clarification that the limitation of liability does not affect your statutory rights.
12. INDEMNITY
You agree to defend, indemnify, and hold Jane's Agenda harmless for claims, damages, or losses resulting from your actions, misuse of products, or violation of the terms. It includes covering legal fees and cooperating in defense efforts.
13. TERMINATION; SURVIVAL
• 13.1 – Jane's Agenda may modify or discontinue the site or services at any time without notice.
• 13.2 – Jane's Agenda can suspend or terminate your access for any reason, including violations of these terms.
• 13.3 – Even if you terminate your account, you remain responsible for purchases made before termination. Certain provisions of the TOU will survive termination (such as dispute resolution, indemnity, etc.).
14. DISPUTE RESOLUTION AND ARBITRATION AGREEMENT
• 14 – Jane's Agenda and users agree to resolve disputes through individual arbitration, waiving the right to a jury trial or class action.
• 14.1 – Before seeking arbitration, both parties must attempt an informal resolution (conference call or video chat).
• 14.2 – No class actions or collective lawsuits are allowed, and the arbitrator may not consolidate claims.
• 14.3 – You can still bring individual claims to small claims court.
15. GENERAL TERMS
• 15.1 – The TOU is the entire agreement between you and Jane's Agenda regarding the site and services, overriding any prior agreements.
• 15.2 – Jane's Agenda isn't liable for delays or performance issues caused by events outside of its control.
• 15.3 – No waiver of rights unless written, and no failure to enforce a right is a waiver.
• 15.4 – Jane's Agenda may modify the TOU by posting updates, and you're expected to review them periodically.
• 15.5 – Miscellaneous clauses about assignment, agency, and legal formalities.
• 15.6 – The site and services are based in the U.S., and Jane's Agenda is not responsible for laws outside the U.S.
• 15.7 – You consent to electronic notices, and the physical and email addresses for notices are provided.
